1 Acceptance of Terms

By accessing or using Canna Escrows's website, platform, or services, you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using our services.

1.1 Agreement to Terms

These Terms constitute a legally binding agreement between you and Canna Escrows, Inc. ("Canna Escrows," "we," "us," or "our"). Your use of our services indicates your acceptance of these Terms.

1.2 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any modifications constitutes acceptance of the new Terms.

1.3 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

2 Service Description

Canna Escrows provides third-party escrow services for online transactions, acting as a neutral intermediary to facilitate secure exchanges between buyers and sellers.

2.1 Escrow Services

Our services include:

  • • Secure holding of funds in FDIC-insured trust accounts
  • • Transaction verification and processing
  • • Dispute resolution and mediation services
  • • Communication facilitation between parties
  • • Documentation and record keeping
2.2 Service Limitations

We do not provide:

  • • Legal advice or representation
  • • Product authentication or appraisal services
  • • Warranty or guarantee of goods or services
  • • Insurance coverage for transaction items
2.3 Platform Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service availability. We may suspend or restrict access for maintenance, security, or other operational reasons.

3 User Accounts and Registration

3.1 Account Creation

To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials.

3.2 Identity Verification

We require identity verification for all users, which may include:

  • • Government-issued photo identification
  • • Proof of address documentation
  • • Business registration documents (for commercial accounts)
  • • Additional verification as required by law
3.3 Account Security

You must:

  • • Maintain the confidentiality of your login credentials
  • • Notify us immediately of any unauthorized access
  • • Use strong passwords and enable two-factor authentication
  • • Keep your account information current and accurate
3.4 Account Suspension

We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks.

4 Transaction Process

4.1 Transaction Initiation

Transactions begin when both parties agree to terms and the buyer deposits funds with Canna Escrows. All transaction terms must be clearly documented and agreed upon before proceeding.

4.2 Escrow Period

During the escrow period:

  • • Funds are held securely in our trust accounts
  • • Seller delivers goods or services as agreed
  • • Buyer has specified time to inspect and approve
  • • We facilitate communication between parties
4.3 Transaction Completion

Transactions complete when:

  • • Buyer approves the delivery
  • • Inspection period expires without rejection
  • • Dispute is resolved in favor of completion
4.4 Fund Release

Upon transaction completion, funds are released to the seller minus applicable fees. We typically process releases within 24 hours of approval.

5 Fees and Payment

5.1 Escrow Fees

Our fees are based on transaction value:

  • • Up to $5,000: 2.9% of transaction value
  • • $5,001 - $50,000: 1.9% of transaction value
  • • Above $50,000: 0.89% of transaction value
5.2 Additional Fees

Additional fees may apply for:

  • • Wire transfer processing: $25 per transfer
  • • International transactions: Additional 0.5%
  • • Dispute resolution services: $150 per case
  • • Expedited processing: $100 flat fee
5.3 Payment Methods

We accept payment via bank transfer, wire transfer, certified check, and major credit cards. Payment processing fees may apply for certain methods.

5.4 Refunds

Escrow fees are non-refundable once a transaction is initiated, regardless of transaction outcome or cancellation.

6 User Responsibilities

6.1 Accurate Information

Users must provide accurate, complete, and truthful information in all communications and documentation. Misrepresentation may result in account termination and legal action.

6.2 Compliance with Laws

Users must comply with all applicable laws and regulations, including but not limited to:

  • • Anti-money laundering (AML) regulations
  • • Export control and sanctions laws
  • • Tax reporting requirements
  • • Consumer protection laws
6.3 Transaction Conduct

Users must:

  • • Clearly define transaction terms and conditions
  • • Respond promptly to communication requests
  • • Act in good faith throughout the transaction
  • • Report suspicious activity or fraud attempts
6.4 Documentation

Users must maintain records of transaction communications and may be required to provide documentation to support their transaction claims.

7 Prohibited Activities

The following activities are strictly prohibited:

7.1 Illegal Activities
  • • Money laundering or terrorist financing
  • • Sale of illegal goods or services
  • • Fraud, forgery, or identity theft
  • • Violation of export controls or sanctions
7.2 Platform Misuse
  • • Creating multiple accounts to circumvent restrictions
  • • Attempting to access others' accounts
  • • Reverse engineering or hacking our platform
  • • Distributing malware or viruses
7.3 Transaction Violations
  • • Misrepresenting goods, services, or transaction terms
  • • Colluding to defraud other parties
  • • Using stolen payment methods
  • • Attempting to bypass escrow protections
7.4 Consequences

Violation of these prohibitions may result in account suspension, transaction cancellation, fund forfeiture, and referral to law enforcement agencies.

8 Dispute Resolution

8.1 Internal Resolution

We provide dispute resolution services for transaction-related disagreements. Our team reviews evidence from both parties and makes binding decisions based on transaction terms and documentation.

8.2 Arbitration Agreement

For disputes not resolved through our internal process, both parties agree to binding arbitration under the rules of the American Arbitration Association, rather than court litigation.

8.3 Class Action Waiver

You waive your right to participate in class action lawsuits against Canna Escrows. All disputes must be resolved individually.

8.4 Dispute Fees

Dispute resolution services incur a $150 fee, paid by the party found to be at fault, or split equally if fault cannot be determined.

9 Limitation of Liability

9.1 Service Disclaimer

Our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9.2 Liability Limits

Our liability is limited to the amount of fees paid for the specific transaction. We are not liable for:

  • • Indirect, incidental, or consequential damages
  • • Loss of profits, data, or business opportunities
  • • Actions or failures of third parties
  • • Force majeure events beyond our control
9.3 Third-Party Actions

We are not responsible for the actions of buyers, sellers, or other third parties using our platform. Users transact at their own risk.

9.4 Maximum Liability

In no event shall our total liability exceed the greater of $1,000 or the fees paid for the transaction in question.

10 Privacy and Data Protection

10.1 Privacy Policy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.2 Data Collection

We collect information necessary to:

  • • Verify user identity and prevent fraud
  • • Process and monitor transactions
  • • Comply with legal and regulatory requirements
  • • Improve our services and user experience
10.3 Data Security

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits.

We retain transaction and account data for the periods required by law and our business needs, typically 7 years for financial records.
